1. Introduction

Welcome to On Air Solutions Pvt. Ltd. ("On Air Solutions", "Company", "we", "our", or "us").

These Terms of Service ("Terms") govern your access to and use of our website, products, branding solutions, printing services, signage services, merchandising solutions, corporate gifting services, quotations, and all related offerings (collectively, the "Services").

By accessing our website or engaging our Services, you agree to be bound by these Terms. If you do not agree, please discontinue use of our website and Services.

2. Services

On Air Solutions provides branding and promotional solutions, including but not limited to:

• Corporate merchandising
• Promotional merchandise
• Corporate gifting
• Indoor and outdoor signage
• Acrylic, LED, and dimensional signage
• Printing services
• Custom branding products
• Design consultation
• Brand implementation services

The exact scope of every project shall be defined in the applicable quotation, invoice, proposal, purchase order, or written agreement.

3. Quotations

All quotations issued by On Air Solutions:

• are valid only for the period specified in the quotation
• are subject to product availability
• may change if project specifications change
• do not constitute a binding agreement until accepted by both parties

Prices may change due to fluctuations in material costs, import duties, supplier pricing, taxes, or exchange rates before acceptance.

4. Orders

An order is considered confirmed only after:

• written acceptance of the quotation
• receipt of any required advance payment
• confirmation by On Air Solutions

We reserve the right to reject or cancel orders before production begins.

5. Design Approval

For customized products, clients are responsible for reviewing and approving all artwork, mockups, proofs, layouts, specifications, dimensions, colors, spelling, logos, and branding elements before production.

Production begins only after receiving final approval.

Once approved, the client accepts responsibility for any errors that remain in the approved artwork.

6. Client Materials

Clients represent that they own or have permission to use any logos, trademarks, artwork, photographs, slogans, designs, copyrighted materials, or brand assets provided to On Air Solutions.

The Company shall not be responsible for infringement arising from materials supplied by the client.

7. Production and Delivery

Estimated production and delivery dates are provided in good faith.

Delivery schedules may be affected by client approval delays, supplier availability, transportation disruptions, weather conditions, customs clearance, force majeure events, or material shortages.

Estimated dates are not guaranteed unless expressly agreed in writing.

8. Product Variations

Due to manufacturing processes, reasonable variations may occur in color, print alignment, material texture, finishing, dimensions, lighting appearance, and product placement.

Such variations shall not constitute defects where they fall within commercially acceptable manufacturing tolerances.

9. Installation Services

Where installation is included, the client shall provide safe access to the site, necessary permissions and approvals shall be obtained by the client unless otherwise agreed, and delays caused by site conditions may result in additional charges.

Installation timelines are estimates and may change due to operational requirements.

10. Pricing and Payment

Payment terms are specified in the quotation or invoice.

Unless otherwise agreed, advance payment may be required before production, remaining balances are payable upon completion or prior to delivery, and taxes and government charges are payable by the client where applicable.

Late payments may result in suspension of production or delivery.

11. Ownership of Goods

Ownership of supplied products remains with On Air Solutions until full payment has been received.

Risk of loss transfers to the client upon delivery or collection, unless otherwise agreed.

12. Returns and Cancellations

Because most products are custom manufactured:

• customized products cannot be returned simply because the client changes their mind
• cancellations after production has begun may incur charges reflecting work completed and materials procured
• non-custom products may only be returned if expressly approved by On Air Solutions

Products damaged during shipping should be reported promptly with supporting evidence.

13. Intellectual Property

All intellectual property belonging to On Air Solutions, including designs, layouts, concepts, proposals, catalogs, photographs, website content, graphics, and documentation, remains the property of On Air Solutions unless otherwise agreed in writing.

Client trademarks and logos remain the property of their respective owners.

14. Website Use

You agree not to interfere with website operations, attempt unauthorized access, copy website content without permission, use automated tools to scrape information, distribute malware or harmful software, or violate applicable laws while using the website.

15. Third-Party Products

Certain products may be manufactured or supplied by third-party vendors. Manufacturer warranties, where applicable, shall remain subject to the original manufacturer's terms.

16. Limitation of Liability

To the fullest extent permitted by law, On Air Solutions shall not be liable for indirect damages, loss of profits, loss of goodwill, business interruption, consequential losses, or delays beyond our reasonable control.

Our total liability arising from any order shall not exceed the amount paid by the client for the specific order giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

17. Warranties

We warrant that our Services will be performed with reasonable care and skill.

Except where expressly stated, all other warranties, whether express or implied, are disclaimed to the fullest extent permitted by law.

18. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, pandemics, strikes, supplier failures, transportation disruptions, governmental actions, power failures, internet outages, or civil unrest.

19. Privacy

Your use of our website is also governed by our Privacy Policy, which explains how personal information is collected, used, stored, and protected.

20. Changes to Services

We may update, discontinue, or modify our Services, product offerings, pricing, website features, or branding solutions without prior notice where reasonably necessary.

21. Governing Law

These Terms shall be governed by the laws of Nepal, except where mandatory consumer protection or data protection laws of another jurisdiction provide greater protection.

22. Dispute Resolution

The parties agree to first attempt to resolve disputes through good-faith negotiations.

If a dispute cannot be resolved within thirty (30) days, it may be submitted to mediation or other mutually agreed alternative dispute resolution.

If legal proceedings become necessary, the courts of Nepal shall have exclusive jurisdiction, subject to any mandatory rights available under applicable law.

23. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

24. Amendments

We may update these Terms from time to time. The revised version will become effective upon publication on our website together with the updated effective date.

Continued use of our Services after publication constitutes acceptance of the revised Terms.
